The rule that changed the process: since 30 September 2025 IFZA requires financial statements at every renewal, simplified statements if turnover is AED 3 million or less with nine or fewer employees, and full audited accounts for everyone else.
That is the short answer. The longer one matters because the renewal is no longer a payment and a form. For most IFZA companies the slow part is now the accounts, not the licence. A founder who opens the renewal email two weeks before expiry and discovers the company needs an audit is already late, and an expired licence blocks visas and makes banks nervous within days.
This guide is written for someone who already holds an IFZA licence, usually an FZCO, and wants to renew it on time, at a fair price, and without paying for visa slots or services the business does not use. Every price we quote as our own comes from our 2026 rate card. Every rule we attribute to IFZA comes from IFZA's own published renewal guidance and its financial statements FAQ. Government and authority fees change, so confirm them on the official portal before you pay.

IFZA license renewal cost in 2026: the price table
Here are our client prices for an IFZA renewal, year two onwards, set against what the same package costs in year one. These are the figures we quote and invoice. They include the licence renewal and the visa allocations on it.

Two things stand out. First, the zero-visa licence does not get cheaper at renewal. You pay AED 12,900 every year, because the price was already the licence alone. Second, the more visas a company holds, the bigger the drop from year one, because the one-off visa processing costs fall away. A four-visa company saves about 38 percent on renewal compared with its first year.
The other way to read the table: each extra visa tier at renewal adds about AED 2,000 a year once you are past the first visa (19,100 to 21,100 to 23,100). That number is the one to keep in mind when you decide whether to keep spare allocations. A slot you hold "just in case" for three years costs roughly AED 6,000 for nothing.
What is not in these prices. Health insurance is required by law for every visa holder and is priced separately (basic cover on our card is AED 500 per person per year). Preparing simplified financial statements or an audit is separate, and audit fees depend on the auditor and the size of your books. Amendments filed at renewal, such as adding an activity or changing a shareholder, are quoted on their own. If a quote lands as one round number with no breakdown, ask what it includes.
What actually drives your IFZA renewal bill
The licence fee is predictable. The renewal bill moves because of four things that travel with it.
Visa allocations. The biggest variable on our card. If you set up with four visas and only two staff are on them, you are still renewing four tiers. Renewal is the cleanest point to downgrade, because changing the package mid-year is extra work and usually extra cost.
Financial statements. This is the new line item since late 2025. A small company on IFZA's simplified template has a modest preparation cost. A company that needs a full audit pays an auditor, and an audit for a company with messy books costs more and takes longer. The cheapest way to lower this cost is boring: keep the books monthly so the year-end close is a formality.
Amendments. If you want to add an activity, change the trade name, bring in a shareholder or change a manager, it is usually smarter to do it alongside the renewal so the renewed licence reflects the real company. Each amendment is quoted separately, but doing them together saves a second round of paperwork.
Penalties and blocks. Anything outstanding on the company file, such as an expired passport for a shareholder, a missing document or an unpaid charge, tends to surface during renewal and must be cleared before IFZA issues the renewed licence. These are not large in themselves, but they cost time, and time is what you are short of near the expiry date.
The financial statements rule: what IFZA now requires
This is the part most IFZA founders have not fully absorbed, so here it is plainly, from IFZA's own FAQ on the renewal requirements.
Who must submit. All IFZA licensees, meaning every FZCO and every branch.
From when. Effective 30 September 2025, a company submits its financial statements during each trade licence renewal, every year. Companies that renewed before 30 September 2025 were exempt that one time but must submit at the next renewal. In practice, that means almost every IFZA company renewing in 2026 is in scope.
What period. The most recently completed financial year as of the renewal date. Your financial year is set in your Articles of Association (IFZA points to Section 75 of the AOA), so check it rather than assuming it runs January to December.
Which format. It depends on two tests, and you must pass both for the simple route:

How IFZA counts employees. Anyone performing work under an executed employment contract, whether sponsored by your company or not, as long as they work under your supervision and contribute to the business. Count at any point during the year, not just at year end. A company that briefly had ten people on contract during a busy quarter fails the test.
How IFZA counts turnover. The gross amount of income in the financial year from all business activities, determined on market principles similar to those used for UAE corporate tax.
The template matters. The simplified route only works on IFZA's own Simplified Financial Statement template. No other format is accepted.
Who can audit. Any registered UAE auditor. The statements must be electronically signed by an authorised signatory: the manager, a director or a shareholder.
How to submit. Through the electronic form IFZA shares during the renewal process.
The shortcut. If you already prepared audited financial statements for the Federal Tax Authority (FTA) for the same year, IFZA accepts them for the renewal. One audit, two uses.
Corporate tax and the IFZA audit: one job, not two
Founders sometimes read "simplified statements are fine for IFZA" as "I do not need an audit". For corporate tax, that can be wrong, and the gap is expensive.
Every IFZA company is a taxable person under the UAE corporate tax law and must be registered with the FTA, even if it expects to pay 0 percent. A company that wants to be treated as a Qualifying Free Zone Person, and so pay 0 percent on qualifying income, has to prepare audited financial statements under the corporate tax rules regardless of its size. So a small IFZA company claiming the free zone tax rate should plan for an audit anyway, and then hand IFZA the same audited accounts at renewal.
A company that is not claiming the free zone rate and that meets both of IFZA's small-company tests can use the simplified template for IFZA. Its corporate tax position still needs its own check: registration, the tax return, and whether small business relief applies. The FTA's own guidance is on tax.gov.ae. Read it, or ask us, before you decide which statements to prepare.
The renewal checks we run on tax:
- Corporate tax registration. If the company is not registered, fix that before renewal. A late registration carries an AED 10,000 penalty. Registration through us is AED 400 on our card.
- VAT registration. If taxable supplies over the last 12 months passed AED 375,000, registration is mandatory. Through us it is AED 500. Our VAT registration guide covers the thresholds.
- Consistency. The turnover in your financial statements, your VAT returns and your corporate tax return should tell the same story. Inconsistencies are what trigger questions later.
Documents you need for an IFZA renewal
IFZA's published renewal guidance and its financial statements FAQ point to this set. Gather it before you start, not when the form arrives.
- The renewal application form, completed with your chosen package and accurate details of every company member.
- Valid passport copies for all shareholders, directors and managers. An expired passport is the single most common reason a renewal stalls.
- Financial statements for the most recently completed financial year: IFZA's simplified template or full audited statements, electronically signed by an authorised signatory.
- Third-party approvals if any activity on your licence is regulated. If that approval has lapsed, renew it first.
- Certificate of good standing or equivalent for any corporate shareholder, usually legalised for use in the UAE.
- Proof of payment once IFZA issues the quotation.
If you are changing anything at the same time, such as shareholders, managers or activities, add the documents for that amendment. If your company has a UBO register, make sure it still matches who actually owns and controls the company. A renewal is exactly when an authority compares what it holds against what you submit.
Step by step: how an IFZA renewal runs
IFZA describes the renewal in four steps. Here they are with the preparation in front of them, which is where the real time goes.
Step 0: preparation, 60 to 30 days before expiry. Check your licence expiry date and your financial year. Decide which financial statements route applies. Brief your accountant or auditor. Check every shareholder and manager passport. Decide whether to change the visa allocation or file any amendments. This is the step most companies skip, and it is why they renew late.
Step 1: the renewal application. Complete IFZA's renewal form with the package you want for the next year and current details for each company member.
Step 2: supporting documents. Submit passports, third-party approvals where relevant, corporate shareholder documents and the financial statements through the electronic form IFZA provides during the process.
Step 3: quotation and payment. IFZA issues a quotation. You pay and submit proof of payment.
Step 4: the renewed licence. IFZA sends the renewed licence to your registered email address.
After renewal. Send the renewed licence to your bank straight away, because banks routinely ask for it and can restrict an account until they have it. Then check that the establishment card and every visa on the company remain valid, and diarise next year's renewal 60 days early.

IFZA itself lists what happens to an expired company: banks request updated licence copies and can restrict or freeze accounts and block incoming and outgoing payments; visa applications and renewals are blocked; and extended non-compliance can lead to blacklisting, ineligibility to open new licences and a forced strike-off. IFZA does not publish a fixed late fee schedule on its renewal guidance, so we do not quote one here. Visas at renewal: allocations, residence renewals and the traps
IFZA companies sponsor residence visas through the Dubai immigration system, run by the General Directorate of Residency and Foreigners Affairs (GDRFA), with Emirates ID issued by the Federal Authority for Identity, Citizenship, Customs and Port Security (ICP). The licence renewal and each visa holder's residence renewal are linked but separate.
The licence must be valid for visas to move. An expired licence blocks new visa applications and renewals for everyone on the company. If a staff member's residence visa expires a week after your licence, the licence renewal is on that person's critical path.
Visa allocation versus visa holders. Your package sets how many visas the company can hold. The renewal price on our card follows the allocation, not how many people actually hold visas. Count your real visa holders before you choose the package for the next year.
Downgrade at renewal, not mid-year. If you hold four slots and use two, renewing at two saves AED 4,000 a year on our card (23,100 down to 19,100). Make sure the slots you drop are genuinely empty.
Change of status for new hires. If you add a visa and the person is already inside the UAE, IFZA's change of status fee is AED 1,600 per visa, a government fee collected at actual. We quote it up front so it is not a surprise.
Health insurance. Every visa holder needs cover. Basic cover on our card is AED 500 per person per year. A lapsed policy can hold up a residence renewal.
The official visa rules sit with GDRFA Dubai and the ICP. We never guarantee visa approvals: the decision belongs to the authorities.
Renew, amend, downgrade or close: which is right for you
Renewal is a decision point, not an automatic payment. The right answer depends on what the company is actually doing.

A word on closing. Letting a licence lapse is not the same as closing a company. Visas must be cancelled, the bank account handled and the tax registrations deregistered. Our cancellation guide covers the general process for Dubai.

Add a realistic line for financial statements every year from now on, plus health insurance for each visa holder. For a company with two visa holders, insurance on our card is AED 1,000 a year. The point of the table is simple: the renewal years are where the long-run cost sits, so the visa allocation and the accounting set-up you choose today matter more than the year-one discount.

Common mistakes to avoid
- Starting the renewal when the reminder arrives. Since 30 September 2025 the financial statements are the slowest part. Start 60 days out, 90 if you need an audit.
- Assuming simplified statements are enough. You must pass both tests, turnover of AED 3 million or less and nine or fewer employees at any point in the year. Fail either and IFZA wants an audit.
- Using your own template for simplified statements. IFZA accepts only its own Simplified Financial Statement template.
- Paying for two audits. If you prepared audited statements for the FTA, IFZA accepts them. Plan one audit that serves both.
- Claiming the 0 percent free zone tax rate without audited accounts. Qualifying Free Zone Person status requires audited statements regardless of IFZA's small-company route.
- Renewing visa slots nobody uses. Each spare tier costs about AED 2,000 a year on our card.
- Ignoring expired passports. A shareholder or manager passport that expired since the last renewal will stall the file.
- Letting the licence lapse instead of closing. A dormant company left to expire keeps accruing problems. Close it properly.
- Forgetting the bank. Send the renewed licence to your bank the day you receive it.
- Trusting a single round-number quote. Ask for a breakdown: licence, visa allocations, financial statements, insurance, amendments.
