Quick AnswerHow to convert a sole establishment to an LLC in Dubai in 2026: DET routes, FTA tax switch, staff and bank steps. Mainland LLC from AED 24,999.
To convert a sole establishment to an LLC in Dubai you either amend the legal form on your existing Department of Economy and Tourism (DET) file, where DET accepts it, or form a new limited liability company and close the sole establishment once staff, contracts and bank accounts have moved. DET completes a licence amendment within 10 minutes at a service centre, but the tax side does not move that fast: the Federal Tax Authority takes up to 20 business days to process a corporate tax registration, and a new LLC must apply within 3 months of incorporation. Noble Core mainland LLC packages start at AED 24,999.
This guide is for owners who already hold a Dubai mainland sole establishment licence and now want a company: to cap personal liability, to bring in a partner, to sell a stake, or to meet a client or bank requirement. It is a narrower question than general company formation in Dubai, because you are not starting from zero. You have a trading history, a labour file, maybe staff on visas, a bank account and contracts signed in the establishment's name, and every one of those has to land safely in the new structure. We set out the two routes, the approvals in the order they happen, the real costs, the tax switch and the mistakes that cost owners money. Figures are from official pages read on 1 November 2026; confirm government fees on the official portal before you pay.
Why owners convert, and when they should not
A sole establishment is the simplest mainland legal form. DET describes it plainly: a business owned by one person, who is personally liable for all financial obligations and liabilities incurred by the business. That simplicity is why so many owners start there. No memorandum of association, no capital debates, one signature. It works well while the business is small and the risk is low.
The same feature becomes the problem as the business grows. Personal liability means a supplier claim, a failed project or a lease dispute can reach your house, your savings and your personal accounts. A limited liability company changes that. DET describes the LLC as a business entity in which partners' liability is limited to their capital share, with up to 50 partners, and a version owned by one person, the Limited Liability Company Single Ownership, which follows the same rules as a multi-owner LLC.
Owners usually convert for one of five reasons:
- Liability. Contract values have grown and a single bad debt could reach personal assets.
- A partner or investor. A sole establishment has no shares, so nobody can buy into it. See our guide to share transfer in Dubai for what happens once shares exist.
- Client and tender requirements. Larger clients, government suppliers and some landlords prefer contracting with a company.
- An exit plan. Selling an LLC means transferring shares. Selling a sole establishment usually means closing it and licensing the buyer separately.
- Banking. Banks review companies and individuals differently, and a company account can be cleaner to run than one tied to a single person's profile.
When should you not convert? If the business is still testing the market, has no staff, carries little contract risk and has no partner on the horizon, the conversion adds cost and paperwork without much benefit yet. Our comparison of a sole proprietorship versus an LLC in the UAE covers that decision in full. This article assumes you have already decided that the company form is right.
What changes legally when you switch
Converting is not a relabelling of the licence. The legal person behind the business changes, and that touches tax, immigration, banking and contracts. The table below shows what moves.
| Item | Sole establishment | Limited liability company |
|---|---|---|
| Legal person | The owner, as a natural person | The company, as a juridical person |
| Liability | Owner personally liable for all obligations (DET) | Partners liable up to their capital share (DET) |
| Owners | One person | 1 to 50 partners, individuals or companies |
| Founding document | None | Memorandum of association issued through DET |
| Corporate tax | Owner registers once business revenue passes AED 1 million in a calendar year | Company registers within 3 months of incorporation |
| VAT | Registered in the owner's name if over the threshold | Registered in the company's name if over AED 375,000 |
| Selling a stake | Not possible, there are no shares | Share transfer through DET |
| Name | Trade name without a company suffix | Trade name must reflect the LLC form |
Two practical points follow. First, the memorandum of association becomes the rulebook for your business: profit split, manager powers, what happens if a partner leaves. If you are adding a partner, that document matters more than the licence itself. Our memorandum of association guide explains the clauses that cause disputes later. Second, do not assume the switch wipes out personal exposure for debts the sole establishment took on before the conversion. Treat old liabilities as yours until a lawyer tells you otherwise, and settle what you can before the switch.
The two routes: amend the legal form, or form a new LLC and close
In practice a Dubai mainland conversion goes one of two ways. Which one applies to you is decided by DET on your file, your activity and your other approvals, so ask before you commit to a timeline.
Route A: legal form amendment on the existing file. DET's trade licence amendment service lists amending partners or parties, changing capital, changing the manager and amending the trade name among its common modifications, and states that the service is completed within 10 minutes at a service centre. DET does not publish a single fee: it says there are a variety of fees depending on the service. Where DET accepts a legal form change on your file, you keep continuity on the economic side, but you still need a memorandum of association, a fresh look at external approvals and new registrations with the tax and immigration authorities.
Route B: new LLC, then cancel the sole establishment. You form a new mainland LLC with the same or a revised activity list, move staff, contracts and bank relationships across, and then cancel the old licence. DET's cancellation service lists a licence cancellation fee of AED 1,020, and for a sole proprietorship the documents required are the cancellation of labour cards through the Ministry of Human Resources and Emiratisation (MOHRE). Cancellation is also completed within 10 minutes at a service centre once the labour file is clear.
| Factor | Route A: amend the legal form | Route B: new LLC, then close |
|---|---|---|
| Who decides | DET on your file | You, with standard DET formation |
| Licence continuity | Economic file continues where DET allows | New licence, new number |
| Overlap period | Short | You may run two licences for a period |
| Staff transfer | Labour and immigration file updated | Staff move to the new establishment file |
| Contracts | Novation or notice still needed for the new legal person | Novation to the new company |
| Old licence cost | Amendment fees as charged | AED 1,020 DET cancellation fee |
| Best for | Simple files, one activity, few approvals | Activity changes, regulated activities, messy files |
Our view: route A is cleaner when it is available and the file is simple. Route B is often the safer choice when you want to change the activity list at the same time, when the activity needs a regulator's approval that is tied to the old entity, or when the sole establishment has an untidy history you do not want inside the new company. The cost of running two licences for a short overlap is usually smaller than the cost of a forced gap in your visas or bank account.
Approvals in order: the step-by-step sequence
The order matters more than any single step. Owners who close the old licence first and plan the rest afterwards are the ones who end up with staff whose visas have no sponsor and payments bouncing off a closed account. This is the sequence we run, checked against official service pages on 1 November 2026.
- Decide the structure with DET. Confirm the legal form (LLC or LLC Single Ownership), the partners and their shares, the manager, and whether DET will handle your file as an amendment or as a new company. DET's service pages are on investindubai.gov.ae.
- Trade name and activity check. The LLC name must reflect the legal form, and the activity list must match what the company will actually do. If the activity needs external approval from another authority, that approval is applied for in the company's name.
- Memorandum of association. For LLCs and one-person companies the memorandum is issued through DET. DET's mainland documents list notes that articles of association are not required for a one-person limited liability company. A multi-partner LLC needs the profit split, manager powers and exit clauses agreed before signing.
- Premises. The company needs a registered location. If the lease is in your personal or establishment name, the landlord must issue a new lease or an assignment to the company, and Ejari registration costs AED 177.75 through Dubai REST or the website.
- Licence issue or amendment. DET issues the new licence or the amended licence. Dubai Chamber membership follows for commercial companies.
- Establishment card and labour file. The company needs its own immigration establishment card and MOHRE labour file before it can sponsor anyone. The Federal Authority for Identity, Citizenship, Customs and Port Security (ICP) lists an establishment card at AED 300 plus a first-time e-system fee; Dubai files go through the General Directorate of Residency and Foreigners Affairs (GDRFA), whose figures can differ.
- Staff and visas. Work permits and residence visas move from the old establishment to the company through MOHRE and GDRFA. Do this before closing anything.
- Federal Tax Authority. Register the LLC for corporate tax within 3 months of incorporation, and for VAT if it meets the threshold. Deregister or amend the sole establishment's records as required. The FTA's corporate tax registration service is free and takes up to 20 business days.
- Bank account. Open the company account, move standing orders and card terminals, and tell clients the new beneficiary details in writing.
- Close or finalise the old file. On route B, cancel the labour cards with MOHRE, then cancel the sole establishment licence with DET (AED 1,020). On route A, confirm every authority now shows the company, not the individual.
Documents you will need
Every file is slightly different, but these are the documents that come up on almost every conversion. Having them ready before step 1 is what keeps the DET visit to minutes rather than repeat trips.
- Current sole establishment trade licence and the owner's passport, Emirates ID and residence visa.
- Passports, Emirates IDs or entry permits of any new partners, or corporate documents if a partner is a company. A foreign corporate partner's documents must be attested and translated; our guide to a subsidiary company in Dubai explains that chain.
- Agreed memorandum of association terms: capital, shares, profit split, manager, signatory powers.
- Lease or tenancy contract in the company's name, or the landlord's consent to assign it.
- External approvals for regulated activities, re-applied in the company's name where needed.
- A staff list with work permit and visa expiry dates, so the transfer can be planned.
- Recent financial records of the sole establishment, which the FTA may ask for if it was registered for VAT or corporate tax.
- A list of active contracts, guarantees and supplier accounts that will need novation or a change notice.
What it costs: real AED figures
Here is the honest picture. DET publishes some government fees for these services and not others, and the total depends on your activity, premises and number of visas. Where a figure is ours, it comes from our published rate card; where it is a government fee, it is quoted from the authority's own page and you should confirm it on the official portal before paying.
| Item | Amount (AED) | Source |
|---|---|---|
| Noble Core mainland LLC package | from 24,999 | Noble Core rate card |
| DET licence amendment | No single fee published ("a variety of fees") | DET service page |
| DET trade name | 620 | Government fee |
| Ejari registration (Dubai REST or website) | 177.75 | Dubai Land Department |
| Dubai Chamber membership | 50 to 2,200 by category | Government fee |
| DET licence cancellation (route B) | 1,020 | DET service page |
| FTA corporate tax registration | Free | FTA service page |
| FTA VAT deregistration | Free | FTA service page |
| Noble Core corporate tax registration | 400 | Noble Core rate card |
| Noble Core VAT registration | 500 | Noble Core rate card |
| Noble Core bank account opening support | 800 | Noble Core rate card |
Two costs do not appear in that table and you should budget for them anyway. The first is overlap: on route B you may hold two licences for a short period. The second is visa transfer cost per employee, which depends on each person's status and is charged at actual by the authorities. A conversion quote that does not ask how many employees you sponsor has not looked at your file.
If you are weighing the conversion against keeping the sole establishment and adding a free zone company instead, look at the whole-year cost, not the first invoice. Our pages on Dubai mainland setup and the instant licence in Dubai show the alternatives.

Corporate tax and VAT during the switch
This is the part owners most often get wrong, because the tax status follows the legal person, not the trade name. This section is general information; confirm your position with a registered tax agent.
Corporate tax. As a sole establishment, the business is taxed through you. The Federal Tax Authority states that a natural person is required to register if the total revenue generated from conducting business or business activities exceeds AED 1 million within a calendar year, with salary, private investment income and real estate investment income excluded from that figure. An LLC is a juridical person. Under FTA Decision No. 3 of 2024, a resident juridical person incorporated on or after 1 March 2024 must apply to register within three months from the date of incorporation. The FTA imposes an administrative penalty of AED 10,000 for late registration, and its late registration penalty waiver initiative removes that penalty where the first tax return is filed within 7 months from the end of the first tax period. Read our corporate tax guide for rates and filing.
VAT. If the sole establishment is registered for VAT, the FTA's deregistration service lists a change from natural person to legal person as one of the reasons for deregistration, with a financial turnover template and a declaration by the natural person among the documents. Where deregistration is mandatory, the application must be submitted within 30 business days from the date the obligation arose. The FTA processes it within 30 business days, free of charge. The LLC then registers in its own name if its taxable supplies and imports exceed the mandatory threshold of AED 375,000, or may register voluntarily above AED 187,500. Our VAT registration guide covers the application.
Records amendments. If your file goes down route A and the FTA treats the change as an update rather than a new registrant, the tax records amendment service applies: it is free, takes up to 20 business days, and changes must be notified within 20 working days of the change or a late penalty applies. Ask your tax agent which treatment fits before you file, because applying for the wrong one wastes the processing window.
The timing trap is simple: the LLC's three-month corporate tax clock starts when the company is incorporated, not when you finish moving staff or contracts. Put the tax registration on the plan for the first week after the licence issues.
Staff, visas, bank and contracts: keeping the business running
The licence is the easy part. Continuity is where conversions fail.
Staff and visas. Employees are sponsored by an establishment file. If you cancel the sole establishment's labour cards before the company can sponsor them, you create a gap. Build a simple table: every employee, their work permit expiry, their residence visa expiry, and the date their transfer to the company is filed with MOHRE and GDRFA. Transfer those closest to expiry first. If you sponsor yourself under the establishment, plan your own visa the same way. MOHRE's services are on mohre.gov.ae.
Bank account. The company needs its own account. Banks run their own onboarding for companies, and no one can promise an outcome, but a clean file with a memorandum, licence, lease and a clear explanation of the conversion helps. Keep the old account open until incoming payments have moved. See our guide to opening a corporate bank account in the UAE.
Contracts and suppliers. A contract signed by the sole establishment is a contract with you. Moving it to the company usually needs the other party's consent through a novation or a fresh agreement. Start with the contracts that matter most: your lease, your largest client agreements, supplier credit accounts and any bank guarantees.
Branding and invoices. Change invoice templates, quotations, email signatures and your website to the company name and trade licence on the day the company starts trading. Mixed invoices from two legal persons confuse clients and your VAT records.
Special cases: partners, professional activities, eTrader and Intelaq
Adding a partner. A sole establishment cannot accept a shareholder, because it has no shares. Bringing in a partner therefore means converting first and then issuing or transferring shares. Settle the partner's capital contribution, profit share and exit terms in the memorandum, not in a side letter.
Professional activities. DET lists the civil company as a company owned by two or more partners practising a professional activity such as consultancy, accounting, training, tailoring or beauty salons. If your sole establishment holds a professional licence and you are adding a professional partner, the civil company may be the right destination rather than an LLC. If you remain the only owner but want limited liability, the LLC Single Ownership is the usual answer. Check the activity code before choosing.
eTrader and Intelaq holders. DET issues the eTrader licence and the Intelaq licence exclusively under the sole proprietorship legal form, with the owner bearing full legal responsibility. These are designed for home-based and online sellers. Owners who outgrow them, by hiring staff, renting premises or signing larger contracts, need a different licence anyway, and that is the natural moment to choose an LLC.
Changing activity at the same time. If the conversion is also an expansion into a new activity, treat it as a new company with route B. Combining a legal form change with a major activity change on the old file tends to stall at the external approval stage. Our trade licence amendment guide covers smaller activity changes on an existing licence.
Common mistakes to avoid
- Cancelling the old licence first. It leaves staff without a sponsor and payments without a destination. Close last, not first.
- Forgetting the three-month corporate tax deadline. The LLC's clock starts at incorporation. The AED 10,000 late registration penalty applies even if the business had little profit.
- Leaving VAT on the old registration. A natural person to legal person change is a listed deregistration reason, with a 30 business day filing window when deregistration is mandatory.
- Assuming contracts move automatically. They are with you personally until the other party agrees otherwise.
- Signing a partner in before the memorandum is settled. Profit split, decision rights and exit terms belong in the memorandum before anyone pays in capital.
- Choosing an LLC for a professional activity without checking. A civil company may fit better when two professionals own the business together.
- Mixing invoices from both entities. It complicates VAT returns and confuses clients about who they owe.
- Trusting a quote that ignores your staff. Visa transfers are a real cost and a real timeline. If the quote does not ask, it is incomplete.

Frequently Asked Questions
Can I convert a sole establishment to an LLC in Dubai?
Yes. A Dubai mainland sole establishment can become a limited liability company, either by amending the legal form on the existing file with the Department of Economy and Tourism where DET accepts it, or by forming a new LLC and closing the old licence. Which route applies depends on your activity, your contracts and how DET treats your file.
Why would a business owner convert to an LLC?
Mainly to limit personal liability and to bring in partners. DET describes a sole proprietorship as a business whose owner is personally liable for all its obligations, while LLC partners are liable only up to their capital share. Owners also convert to sell part of the business, to satisfy bank or client requirements, or to plan a clean exit.
How long does the conversion take?
The DET counter step itself is short: DET states that a licence amendment is completed within 10 minutes at a service centre once the file is complete. The full switch takes longer, because the new memorandum, establishment card, labour file, bank account and Federal Tax Authority registration each have their own queue. Plan for several weeks, not days.
How much does it cost to convert a sole establishment to an LLC?
Noble Core mainland LLC packages start at AED 24,999. Government items vary by file: DET publishes no single amendment fee, while a new trade name reservation is AED 620 and cancelling the old licence on the new-company route is AED 1,020. Bank account support is AED 800, corporate tax registration AED 400 and VAT registration AED 500.
Do I need a new corporate tax registration after converting?
Usually yes. A sole establishment is taxed through its owner as a natural person, who registers once business revenue passes AED 1 million in a calendar year. An LLC is a juridical person that must apply within three months of incorporation. Late registration carries an AED 10,000 penalty. This is general information; confirm with a registered tax agent.
What happens to my VAT registration?
If the sole establishment was VAT registered, the business moves from a natural person to a legal person, and the Federal Tax Authority lists exactly that change as a deregistration reason. A mandatory deregistration must be filed within 30 business days, and the LLC registers in its own name if it meets the AED 375,000 threshold. Confirm with a registered tax agent.
Will my employees’ visas be cancelled?
Not if you plan the sequence. Staff are sponsored by the establishment file, so their work permits and residence visas must move to the LLC through MOHRE and the immigration authority before the old file closes. Cancelling the old licence first can leave staff without a valid sponsor. Map every employee and visa date before you start.
Can I keep the same trade name and licence number?
Sometimes the trade name, rarely without paperwork. An LLC name must carry its legal form, so the name changes at least by its suffix. Whether the licence number survives depends on whether DET treats your file as an amendment or a new issue. Ask DET before printing anything, and tell banks and clients which entity signs from which date.
Should I convert or simply add a partner?
A sole establishment cannot take a shareholder, because it has no shares. Adding a partner means changing the legal form first. For commercial activities that usually means an LLC; for professional activities with two or more partners DET also offers the civil company. Pick the form that fits the activity, then add the partner.
Do eTrader and Intelaq licence holders need to convert?
Only when they outgrow the licence. DET issues both exclusively as sole proprietorships with the owner bearing full responsibility. A home-based seller or Intelaq holder who wants staff, an office, a partner or larger contracts will normally need a new licence type, and that is the moment to choose an LLC instead of another sole establishment.
