    Mainland or free zone: the decision that matters most

    Most cleaning start-ups ask about free zones first because the headline prices look low. That is the wrong starting point for this business. A cleaning company earns its revenue by sending people into offices, villas, towers, schools, hotels and warehouses. The work happens on the client's premises, not in your office.

    Under the federal Commercial Companies Law (Federal Decree-Law 32 of 2021, as amended), a free zone company that practises its activities on the mainland needs a mainland licence from the economic department of that emirate. A free zone company may invoice mainland clients for work performed from its free zone premises, but it cannot base a business model on staff physically working across the city without a mainland licence.     Choosing the right activity on your licence

    The activity you select decides what you can legally sell, which approvals you need, and sometimes what your premises must look like. Cleaning is not one activity. Before you apply, be clear about which of these your business will actually do:

    • Building and office cleaning. Routine cleaning of commercial premises, towers and common areas. This is the core activity for most new operators and the one most facility managers will ask to see on your licence.
    • Residential and villa cleaning. Deep cleans, move-in and move-out cleans, and recurring home cleaning. Check whether your plan involves supplying workers to households on an hourly basis, because domestic worker services are regulated differently from commercial cleaning and should not be mixed into a commercial cleaning licence.
    • Specialised cleaning. Facade and window cleaning at height, kitchen exhaust and duct cleaning, carpet and upholstery cleaning, post-construction cleaning. Some of these bring safety requirements from the client's side, such as proof of training and equipment certification, even when the licence itself is straightforward.
    • Drinking water tank cleaning and disinfection. This needs a separate registration with the Department of Municipalities and Transport, covered in the next section.

    Adding activities you do not need creates cost and questions. Leaving out an activity you will sell creates a compliance problem the first time a client's procurement team checks your licence.     The approvals beyond the licence

    For a general building cleaning activity, the economic licence is the main gate. The approvals that catch founders out are the specialised ones and the ones clients demand.

    Drinking water tank cleaning. TAMM lists a service from the Department of Municipalities and Transport to register as a provider of cleaning, disinfecting and sterilisation services for public drinking water tanks. The required documents are a certificate of training of employees, an emergency plan and a medical examination report. TAMM shows no additional cost and a four-hour processing time. The work of preparing the training certificates and the emergency plan is where the time goes, so start it while the licence is being processed.

    Client-side prequalification. Large buildings, hospitals, hotels and government-linked entities run vendor registration before they award a cleaning contract. Expect requests for your trade licence, VAT certificate, insurance certificates, method statements, staff training records and sometimes health and safety documentation. None of these is issued by the licensing authority, but you cannot win the contract without them. Build the pack as you build the company.

    Health requirements for staff. Every worker needs a medical fitness test for the residence visa. Where your teams work in food premises, healthcare facilities or on water systems, the client or the relevant regulator may ask for additional certificates. Ask before you price the contract.

    Premises. The standard licence requires an approved lease contract. If you store chemicals and machines, choose a unit that suits storage and not just an office desk, and check the permitted use before you sign.

    Step by step: from idea to operating in Abu Dhabi

    Here is the order that avoids rework. Doing these in a different order is the most common cause of delay.

    1. Define the activities and ownership. Decide the exact cleaning activities, the legal form (usually a limited liability company, with one or more owners) and who will be the manager. Confirm that your activities allow full foreign ownership, which is the case for most commercial service activities.
    2. Reserve the trade name. Pick a name that describes the business without using restricted words. Have two alternatives ready in case the first is rejected.
    3. Prepare the memorandum of association. For a limited liability company, the memorandum sets out ownership, capital and management. The Tajer route uses a standard memorandum; the standard licence needs one drafted for your company.
    4. Secure an approved lease. Find premises that suit an office plus equipment storage, and make sure the lease can be registered and accepted for licensing.
    5. Apply for the Commercial Economic Licence on TAMM. You log in with UAE PASS, submit the application and documents, and obtain approvals from other entities if any are required. TAMM lists 5 working days for this step.
    6. Collect the establishment card. The AED 315 establishment card request is included in the TAMM fee lines. The card is what lets the company sponsor residence visas.
    7. Open the MOHRE file. Register the company with MOHRE, set up the salary payment arrangement through the Wage Protection System, and apply for your first work permits.
    8. Process visas for the manager and first workers. Entry permits, change of status where the worker is already in the UAE, medical tests, Emirates ID biometrics and residence visa stamping follow.
    9. Arrange health insurance. Abu Dhabi requires employers to provide health insurance for their employees. Get this in place before visas are completed.
    10. Open the business bank account. Banks will ask for the licence, memorandum, lease, owner identification and a clear description of your clients and payment flows. Approval is at the bank's discretion.
    11. Register for tax. Register for corporate tax once the company is licensed, and register for VAT when your taxable supplies reach the mandatory threshold, or earlier on a voluntary basis if your clients prefer VAT-registered suppliers.

    Staff, visas and labour costs: the real budget

    Your MOHRE classification. MOHRE classifies private companies into three categories, and the work permit fee follows the category. According to MOHRE's announcement of the classification system, first category companies pay no more than AED 250 over two years per work permit, second category companies pay AED 1,200, and third category companies pay AED 3,450. Classification depends on factors such as compliance record, workforce diversity and Emiratisation performance.     Visa and identity costs. On top of the work permit, each worker needs a residence visa, an Emirates ID and a medical test. Federal Authority for Identity, Citizenship, Customs and Port Security (ICP) fees include a residence permit charge of AED 100 per year of validity plus application and smart service fees, and Emirates ID at AED 100 per year of validity plus a smart service fee. Typing, medical and insurance costs are added per person. Workers already inside the UAE need a change of status, which is an extra government charge.

    Accommodation, transport and uniforms. Most cleaning companies house at least part of their workforce and move teams between sites daily. These costs are not government fees, but they often exceed the visa costs over a year. Price them into every contract.

    Emiratisation. MOHRE sets Emiratisation targets for private companies with 50 or more employees, and for some companies with 20 to 49 employees in selected sectors. If your growth plan takes you past these sizes, check how the targets apply to your company early, because the classification and the fees are linked to compliance.

    Wage Protection System. Salaries must be paid through the Wage Protection System. Late or missing payments affect your MOHRE standing and can block new permits, which in a cleaning business means you cannot staff new contracts. Treat payroll discipline as a growth issue, not only a compliance one.

      VAT, corporate tax and banking for a cleaning company

      VAT. The Federal Tax Authority (FTA) requires VAT registration once taxable supplies exceed AED 375,000 in the previous 12 months, or are expected to exceed it in the next 30 days. Voluntary registration is available from AED 187,500. Commercial cleaning contracts with facility managers and corporate tenants reach the mandatory threshold quickly, and many procurement teams prefer VAT-registered suppliers.       The licence gets you permission to trade. Contracts come from being easy to buy from. The operators who grow fastest in Abu Dhabi usually do four things well.

      They build a prequalification pack before the first tender. Trade licence, establishment card, VAT certificate, insurance certificates, company profile, method statements for each service, a sample staff training record and a basic health and safety policy. Facility managers and procurement teams move faster when the pack is complete on first request.

      They specialise early. A general "we clean everything" pitch competes on price alone. A company that is excellent at post-construction cleans, or at clinic and healthcare cleaning, or at high-rise facades, can price for expertise and wins repeat work from the same contractors and landlords.

      They price per worker, not per square metre alone. Square-metre pricing is how clients compare quotes, but your cost is people and hours. Build every quote bottom-up from staff hours, then present it the way the client wants to see it.

      They protect cash flow. Corporate clients commonly pay 30 to 90 days after invoice, while payroll is monthly. Keep enough working capital to cover at least two payroll cycles before taking on a large contract, and never let a slow payer push you into late salary payments.
